As part of the Company's commitment to implement good corporate governance (Good Corporate Governance), the Company ensures that Risk Management, Compliance, and Internal Audit are implemented effectively, structured, and continuously. These three aspects are essential in maintaining operational stability, mitigating risks, and ensuring compliance with applicable regulations.

Ownership Structure


PT CIMB Niaga Sekuritas is established in March 2018 with an authorized capital of IDR 200,000,000,000 (two hundred billion Rupiah), of which IDR 50,000,000,000 (fifty billion Rupiah) was issued and fully paid.

In 2023, the Company increased its authorized capital to IDR 1,200,000,000,000 (one trillion two hundred billion Rupiah), with issued and fully paid capital amounting to IDR 616,000,000,000 (six hundred sixteen billion Rupiah), following pro rata capital injections by each shareholder.

Code of Ethics


The Company has a Code of Conduct applicable to all members of the Board of Commissioners, the Board of Directors, and all employees of the Company. The Code of Conduct governs, among others, guidelines on conflicts of interest, the giving and receiving of gifts and donations, compliance with regulations, confidentiality of information, and the reporting of unethical behavior. The Company’s Code of Conduct must be implemented continuously and consistently, and communicated effectively to establish a corporate culture that reflects the Company’s core values.

The possession of this license reflects the Company's commitment to maintaining professionalism, integrity, and compliance with regulations in the capital market industry.

Violation Reporting

The Company has a policy related to the Whistleblowing System with the following objectives:
  • To serve as a guideline in implementing and managing the reporting of alleged violations occurring within the Company.
  • To establish a responsive, transparent, secure, and accountable system for handling reports of alleged misconduct.
  • To provide clear and consistent policies in reporting suspected misconduct.
  • To improve the Company’s compliance performance as well as monitoring and assessment of internal controls.
  • To maintain moral integrity and ethical standards within the Company.
  • To provide a platform and guidance for Whistleblowers to report misconduct or suspected violations of Company policies, regulations, and applicable laws.
  • To encourage the participation of Company employees in creating a conducive working environment in accordance with the principle of transparency.
  • To promote the growth of a healthy business environment in line with GCG principles and a clean and transparent Company image.
With the implementation of this Policy, it is expected:
  • To create a conducive environment that encourages reporting of matters that may result in financial or non-financial losses, including those that may damage the Company’s reputation.
  • To provide an early detection mechanism (early warning system) for potential issues arising from violations, as well as the opportunity to address suspected violations internally before they escalate into public issues.
  • To reduce costs associated with handling the consequences of violations.
  • To enhance the Company’s reputation.
  • To ensure the continuous integrity of employees within the workplace.
